Kuntratti Olandiżi ta' negozju internazzjonali

Dutch contract law contains three features that regularly surprise businesses from a common law system: reasonableness and fairness can supplement or set aside contract terms, contracts are interpreted by what the parties could reasonably expect rather than by the text alone, and breaking off negotiations can create liability. The main exception is that a carefully drafted contract between professional parties is in practice read more closely to its wording.

Two practical points deserve attention early. General terms and conditions bind the other party only if they were made available in time, and in a cross-border contract the choice of law and choice of forum clauses decide which rules apply and where a judgment can be enforced.

How does reasonableness and fairness affect your contract?

Under Article 6:248(1) of the Dutch Civil Code (BW), a contract has the legal effects the parties agreed, plus those that follow from the law, custom and the requirements of reasonableness and fairness (kulur u kulur). A court can therefore add obligations the parties never wrote down, such as a duty to cooperate or to warn.

Under Article 6:248(2) BW, a clause does not apply where relying on it would be unacceptable by standards of reasonableness and fairness. Courts use this restrictively, but it can set aside a limitation of liability where a party acted with intent or gross negligence.

Kif jinterpretaw kuntratt il-qrati Olandiżi?

Not on the plain meaning of the text alone. In the Haviltex judgment (Supreme Court, 13 March 1981, ECLI:NL:HR:1981:AG4158), the Supreme Court (Qorti Suprema) held that the decisive question is what meaning the parties could reasonably attribute to the provisions in the circumstances, and what they could reasonably expect of each other.

The negotiation history, the parties’ expertise and whether they had legal advice all play a role. An entire agreement clause therefore has less effect than in England or the United States: it can limit the use of pre-contractual statements, but it does not exclude the Haviltex test. Between professional parties who negotiated a detailed contract with lawyers, the wording carries more weight.

Can breaking off negotiations make you liable?

Yes, in defined circumstances. Negotiating parties must take each other’s legitimate interests into account. If negotiations have reached a stage where the other party could reasonably rely on a contract being concluded, breaking them off can be unacceptable.

The consequence is usually compensation for the costs the other party incurred, and in exceptional cases for lost profit. A letter of intent stating that the parties are not bound until a final contract is signed limits that risk, but does not exclude it entirely.

How is a contract formed under Dutch law?

By offer and acceptance (Article 6:217 BW). There is no requirement of consideration, and in principle no formal requirement: an oral agreement or an exchange of emails can be binding (Article 3:37 BW).

Exceptions exist for specific contracts, such as the purchase of a home by a consumer, which must be in writing, and the transfer of real estate or shares in a BV, which requires a notarial deed. If the acceptance deviates from the offer, it counts as a new offer, unless the deviation is minor (Article 6:225 BW).

Meta japplikaw it-termini u l-kundizzjonijiet ġenerali?

Only if they were agreed and, in most cases, made available to the other party before or when the contract was concluded (Article 6:234 BW). Otherwise, the other party can annul unreasonably onerous clauses, such as a limitation of liability.

Where both parties refer to their own terms (the “battle of forms”), the terms referred to first apply, unless the other party expressly rejects them (Article 6:225(3) BW). For international sales of goods, the Vienna Sales Convention (CISG) applies unless excluded, and it has different rules on this point.

What happens when the other party does not perform?

In most cases you must first send a written notice of default (ingebrekestelling) giving a reasonable period for performance (Article 6:82 BW). Only once that period has passed can you claim damages or terminate (għerq) the contract under Article 6:265 BW.

A party is not liable if the failure is not attributable to it, for example in case of force majeure (Article 6:75 BW). A penalty clause is enforceable, but the court can reduce it if fairness clearly requires (Article 6:94 BW). A claim for performance becomes time-barred five years after it became due (Article 3:307 BW).

Which law and which court apply to a cross-border contract?

Within the EU, the Rome I Regulation (593/2008) lets parties choose the applicable law; without a choice, the law of the country of the seller or service provider usually applies. The Brussels I bis Regulation (1215/2012) governs which court has jurisdiction and makes a Dutch judgment enforceable across the EU.

Disputes up to €25,000 go to the subdistrict court (kantonrechter); larger claims to the district court. The Netherlands Commercial Court (NCC) in Amsterdam hears international commercial disputes in English if the parties agree to it in writing. Arbitration, for example under the Netherlands Arbitration Institute (NAI) rules, is a common alternative.

What should you check in a contract drafted by your Dutch counterparty?

The other party’s standard documents usually favour the other party. Check:

  • whether general terms are attached or were made available before signing, and which terms prevail;
  • the limitation of liability and whether it covers intent and gross negligence;
  • the choice of law and the competent court or arbitration clause;
  • the notice periods and termination grounds, including any automatic renewal;
  • penalty clauses and whether they replace or come on top of damages.

What should you check when you draft the contract yourself?

A clear contract reduces the room for reasonableness and fairness to change the outcome. Check:

  • that your general terms are sent with the quotation and order confirmation, and expressly reject the other party’s terms;
  • that specifications, deadlines and acceptance criteria are concrete;
  • that a letter of intent states when the parties are, and are not, bound;
  • that the choice of law and forum are explicit, and whether the CISG is excluded;
  • that payment terms comply with Article 6:119a BW, under which statutory commercial interest applies after 30 days if no term was agreed.

sommarju

  • Reasonableness and fairness can add obligations to a contract or set a clause aside (Article 6:248 BW).
  • Contracts are interpreted by what the parties could reasonably expect (Haviltex), not by the text alone.
  • Breaking off advanced negotiations can lead to liability for costs.
  • General terms apply only if made available in time; in a battle of forms, the first reference prevails.
  • Choose the applicable law and the competent court explicitly in every cross-border contract.
